In the previous article (‘Mindfields’) I spoke about the importance of following the protocol and procedures of company registration in Thailand and I gave an example of how, not following it, can have severe consequences or implications.  In the case of me it was tax avoidance.  Under the laws that govern the company registration process in Thailand every business that is approved for operation has to meet a certain list of requirements and criteria.  Essentially this begs the question that can these rules be bent or even broken considering corruption is quite rife in Thailand?  Based on my experience the answer is that the rules can definitely be bent and even broken.  After all, how could the company I was working for get away with tax evasion for so long and how come they did not have the required number of Thai staff and furthermore how was I even employed there without the mandatory degree which is required? So again, the lawyer in me decided to investigate.  I looked more in to the company registration process in Thailand and learnt a lot of quite useful information and I learnt that there are tons of companies out there in Thailand that follow the same procedure in terms of bending or breaking the rules simply because the act of corruption allowed them to and that the rules were not really enforced if palms were greased accordingly. I was not in agreement on this, after all, if you want to perform company registration in Thailand then surely it pays to be legitimate and serious about it?  There are tons of fly by night law firms who think they know what they are doing or that they believe what they are telling you in terms of company registration in Thailand but it really pays to take some time to perform your own research and get a legal team on your side that you can trust in case anything goes wrong. Having a trusted legal team at your disposal can be exceedingly useful in terms of learning more about the law and rules of Thailand.  Whilst there are lawyers who deal with all areas of the law a lot of firms deal with the main areas such as divorce or company registration in Thailand.  It pays to be in the know and unfortunately I learnt this too late and I had no-one to consult with in terms of what I experienced in that position.  Suffice to say that the company did not last long and the business went bankrupt and was terminated and it made me realise how many companies here in Thailand who are foreign owned fail to survive due to not following the rules of company registration in Thailand.  It always pays to follow the rules and be legitimate, especially in the face of adversity such as corruption, and if you simply follow everyone else and think that the rules do not apply then you deserve all you get because, after all, the rules that govern company registration in Thailand are there to protect you and them and for your own safety and so it is always best to follow them.
