The important question is whether the address will remain suitable for what the company plans to do next. A correspondence-only virtual address can support company registration and official communications, but it is not an operating workplace. If the company will soon register for VAT, hire employees, apply for a work permit, obtain a premises-based licence or receive customers, suitable physical premises should be planned at the appropriate stage.

Who is a virtual office address suitable for?

A virtual address is most useful when the company needs a valid registered office but has not yet reached the operating stage. It may be suitable where:

  • the founders are incorporating the company while finalising the business plan or premises;
  • the company will initially use the address for corporate registration and correspondence only;
  • there will be no employees, customer visits, stock or equipment at the address;
  • VAT registration, a work permit and premises-based licences are not required immediately; or
  • the founders want to avoid signing a lease before confirming the company structure and regulatory requirements.

A physical office may be the better starting point if the business intends to operate immediately, hire staff, sponsor a foreign worker, receive customers, store goods or apply for VAT or an activity-specific licence soon after incorporation. Choosing the appropriate route at the beginning can reduce the need to amend corporate, tax, employment and banking records shortly afterwards.

What does a virtual office address mean in Thailand?

"Virtual office" is a commercial description, not a single legal category with one set of rights. One provider may offer only an address and mail handling. Another may provide a dedicated serviced room, access rights, signage and documents supporting actual occupation.

The name of the package does not determine what the address can be used for. The service agreement, the facilities genuinely available and the requirements of the relevant authority all matter. Four address functions should be distinguished:

  • Registered head office: the address recorded in the company's corporate registration.
  • Correspondence address: a location authorised to receive letters and notices for the company.
  • Place of business or establishment: premises from which the company actually conducts its activities.
  • Workplace or licensed premises: a location connected to employees, foreign workers, a regulated activity or an inspection.

These functions may sometimes use the same address, but acceptance for one purpose should not be treated as approval for every other purpose.

Using a virtual address does not prevent the company from moving to an operating office later. It can provide a staged approach: incorporate first, secure suitable premises when the business is ready and then update the connected registrations in the correct order.

Why does DBD acceptance not decide every other registration?

Each authority considers an address for a different purpose. The Department of Business Development records the registered office. The Revenue Department considers the place of business for tax administration. The Social Security Office considers the establishment and its employees. The Department of Employment considers the employer and the foreign national's place of work. A licensing authority may inspect the premises where a regulated activity will occur.

DBD acceptance therefore confirms the corporate address filing only. It does not automatically establish that the company occupies the premises, operates from them or satisfies another authority's requirements.

When should physical premises be arranged?

Physical premises should be arranged before the company reaches a milestone that requires an actual place of business, establishment or workplace. The exact timing depends on the proposed activity and the sequence of applications.

Before VAT registration

The Revenue Department's VAT materials identify the establishment, its address and the nature of the premises. Supporting evidence may include a lease or the owner's consent, a location map and photographs. If the premises are in a condominium, confirmation that the location is within an area permitted for commercial operation may also be required.

This does not mean that every serviced-office arrangement is unsuitable. A dedicated office with genuine occupation rights, identifiable space and complete documents may be materially different from a correspondence-only service. The position remains subject to the facts and Revenue Department requirements.

Before registering as an employer with Social Security

Social Security employer registration becomes relevant when the company employs staff who fall within the applicable system. The filing records the establishment, employees at the head office and any branches or other workplaces. Supporting materials may include a map and photographs of the establishment.

The address should reflect where the employment is genuinely based. If employees work at several sites or under an unusual arrangement, the correct registration position should be reviewed before filing.

Before a work permit application

A standard work permit application considers the foreign applicant and the Thai employer. The employment information includes the establishment and proposed place of work. Depending on the route, evidence may include corporate, tax and Social Security records, business licences, a location map and photographs of the premises.

Premises requirements vary by activity. Restaurants, hospitality businesses, wellness services, education providers, factories, warehouses, retail operations and other regulated businesses may face different building, local authority, health, safety, signage and inspection requirements.

The licence position should be checked before a lease is signed. A convenient address may still be unsuitable if the building rules, landlord documents or physical layout do not support the proposed business.

Does a physical office have to be a traditional private office?

Not necessarily. The useful distinction is between an address used only for correspondence and premises the company is genuinely entitled to occupy and use. Depending on the activity and authority, a dedicated serviced office may be sufficient if it provides the required access, documents, signage and inspection readiness.

A company that intends to sponsor a foreign director shortly after incorporation

If the work permit plan will begin soon, taking a correspondence address first and changing it almost immediately may create additional corporate and employer updates. Reviewing suitable physical or dedicated serviced premises before incorporation may be more efficient.

A restaurant, shop or other premises-based business

The location forms part of the business model and may affect the lease, licence, VAT, signage and inspections. The premises should normally be reviewed before incorporation documents and long-term commitments are finalised.

How should a later address change be coordinated?

A move should be planned across every relevant record rather than treated as a DBD amendment alone. A practical sequence is:

  1. Review the new premises. Confirm the lease, owner's cooperation, building rules, proposed activity, signage and licence position.
  2. Identify the affected records. These may include DBD, tax and VAT, Social Security, work permits, licences, bank records, contracts, invoices and company communications.
  3. Set the filing sequence. Some applications need updated corporate documents, while others require the premises to be ready for photographs or inspection.
  4. Keep the existing address service active during the transition. This protects official correspondence and avoids leaving the registered address unsupported.
  5. Retain evidence of every update. The company's records should use the new address consistently where required.

Common misunderstandings

"If DBD accepts the address, every other authority must accept it."

DBD acceptance records the company's registered office. Other authorities consider the address for their own tax, employment, work-authorisation or licensing purposes.

"A virtual address is always the least expensive option."

It may reduce initial premises costs. However, if the company must change its address soon afterwards, the connected amendments and timing should also be included in the decision.

"Any serviced office can be used for VAT or a work permit."

The label is not enough. The company must confirm its genuine right to use the premises, the documents available and the requirements of the relevant authority.

"A residential condominium can automatically be used as a company office."

The owner's consent, lease, condominium rules and permitted building use should be reviewed. A corporate address filing does not override restrictions on commercial use.
